This Terms of Service Agreement ("Terms", "Agreement") explains the terms and conditions under which you can use the Platform and Services provided by Best Eats ® (Best Eats ®). Best Eats ® is a free service that lets people discover and vote for the best dish at each restaurant in Portugal. Please read these Terms carefully and keep a copy for your reference.
BY REGISTERING FOR OR USING OUR SERVICES, OR ACCESSING ANY CONTENT MADE AVAILABLE BY Best Eats ®, YOU EXPRESS YOUR AGREEMENT TO BE LEGALLY BOUND BY THESE TERMS AND BY OUR PRIVACY POLICY. IF YOU DO NOT AGREE WITH (OR CANNOT COMPLY WITH) THE TERMS AND CONDITIONS SET FORTH BELOW, DO NOT REGISTER OR USE OUR SERVICES.
1.1 The following definitions apply throughout this Agreement:
- Terms / Agreement — refers to the latest version of this Terms of Service Agreement.
- Site — refers to the website of Best Eats ® available at https://besteats.pt or any other URL hosting Best Eats ® Services.
- Platform — refers to the Site and Services collectively.
- User / You — any person using or accessing our Platform, whether or not registered.
- We / Us / Best Eats ® — Best Eats ®, the Site, and our partners and affiliates, operated by Best Eats ®, located at Portugal.
- Privacy Policy — the document governing the collection, use and storage of Information provided by Users.
- Third-Party — any application, website, natural or legal entity other than Best Eats ®.
- Content — all images, text and other information located on the Platform, including the curated dish catalog and restaurant information.
- User Data — Content provided by Users, including votes, restaurant and dish submissions.
- Services — the free discovery, voting and ranking features made available through the Platform.
- Information — information about Users provided for the purpose of using our Services, contacting support, or anonymous statistical information collected through cookies or third-party services.
(A) Scope of the Services
2.1 Best Eats ® offers a free Platform through which Users can browse a curated catalog of Portuguese dishes, discover restaurants, and vote for the best dish at each restaurant. Some features require registration.
2.2 Best Eats ® cannot guarantee or warrant that the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. We do not guarantee 100% uptime. The Services may be unavailable due to: (i) scheduled maintenance, (ii) force majeure events, (iii) account suspension or termination, (iv) internet problems outside our area of influence, (v) bugs in code, hardware or services without a commercially known fix, or (vi) third-party service changes.
2.3 Rankings reflect the aggregated opinions of our community of Users. They are not a statement of fact, a professional review, or an endorsement by Best Eats ® of any restaurant or dish.
2.4 Best Eats ® is not affiliated with, endorsed by, or sponsored by Google or any restaurant, brand or business listed on the Platform. All trademarks are property of their respective owners.
(B) Eligibility
2.5 By using the Services, you confirm that you are at least 16 years of age and fully able and competent to enter into the obligations set forth in these Terms. We may, in our sole discretion, refuse to offer the Services to any person and may change eligibility criteria at any time. By using our Services you confirm that:
- (i) you have full legal capacity to enter into a binding relation;
- (ii) you will provide true, accurate, current and complete information where requested, and will maintain its accuracy;
- (iii) you will not use the Services contrary to these Terms or applicable laws or regulations.
2.6 It is your responsibility to assess whether using the Platform complies with the laws of your jurisdiction. If any part of the Platform is not in compliance with your local laws, you may not use it.
(C) Registration
2.7 You register and sign in using Google Sign-In (OAuth). The collection, use and storage of the information received is regulated by our Privacy Policy and applicable laws. Users must provide true, accurate, current and complete information and may not impersonate any person or use another person's account.
2.8 It is your responsibility to keep your account secure. You are responsible for all activity under your account. If you find or suspect that someone accessed your account without authorization, you must inform us immediately at [email protected].
3.1 You agree not to misuse our Platform. Misuse includes any use, access or interference with the Platform contrary to these Terms, the Privacy Policy, or applicable laws and regulations. We may, in our sole discretion, suspend or terminate access to all or parts of the Platform without prior notice. You will not, without limitation:
- (i) send unauthorized commercial communications (spam) through the Platform;
- (ii) collect Users' content or information, or access the Platform using automated means (bots, robots, spiders, scrapers) without our permission;
- (iii) upload viruses or other malicious code;
- (iv) bully, intimidate or harass any other User;
- (v) post or transmit content which is illegal, hateful, obscene, threatening, defamatory, infringing of intellectual property rights, invasive of privacy, or contains graphic or gratuitous violence;
- (vi) impersonate any other person or entity;
- (vii) take any action creating a disproportionately large usage load on our Platform;
- (viii) submit false, misleading or fraudulent restaurant or dish information;
- (ix) manipulate or attempt to manipulate votes or rankings, including by casting votes through automated means, fake or multiple accounts, or by paying or inducing others to vote;
- (x) create, operate or control more than one account per person in order to influence rankings or circumvent the one-vote-per-restaurant rule or any limitation imposed on your account;
- (xi) knowingly exploit any bug or vulnerability in a manner other than the regular use of the Services.
3.2 One vote per restaurant. The Service enforces a maximum of one vote per User per restaurant. Circumventing or attempting to circumvent this rule is a material breach of these Terms.
3.3 Users are solely responsible for their User Data and for any consequences of making it available.
3.4 If your account, or any part of it, is suspended, banned, restricted or terminated by Best Eats ®, you agree to abide by such decision and may not create another account to bypass these limitations.
4.1 Users may contribute User Data such as votes and restaurant or dish submissions. You represent that any User Data you submit is accurate and that you have the right to submit it.
4.2 By providing User Data, you grant Best Eats ® a non-exclusive, royalty-free, worldwide, transferable license to host, store, reproduce, display and process such User Data for the purpose of operating, providing and improving the Services (including computing and displaying aggregated rankings).
4.3 Best Eats ® may review, moderate, edit or remove any User Data at its discretion, including submissions that are inaccurate, duplicated, abusive or in breach of these Terms, but is not obligated to do so.
5.1 The copyright and all intellectual property rights in the Platform belong to Best Eats ® or are used with appropriate permissions. This includes the design, database rights, the curated dish catalog, dish imagery, trademarks, text, graphics, code and the selection and arrangement thereof. All rights are reserved.
5.2 Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform for your personal, non-commercial use. Except as expressly permitted, you may not: (i) copy, modify or create derivative works based on the Platform; (ii) distribute, sublicense, lease, lend or rent the Platform to any third party; (iii) reverse engineer, decompile or disassemble the Platform; or (iv) scrape, mass-download, resell or redistribute any part of the Platform or its data.
5.3 All brand names, restaurant names and logos referenced on the Site are trademarks of their respective owners. Their use on the Site does not indicate endorsement.
5.4 If you believe your work has been used on the Platform in a way that constitutes copyright infringement, please email [email protected] with: (i) a signature of the person authorized to act on behalf of the owner; (ii) a description of the copyrighted work; (iii) a description of where the material is located on the Site; (iv) your contact information; (v) a statement that you have a good faith belief that the disputed use is not authorized; and (vi) a statement made under penalty of perjury that the information provided is accurate.
5.5 Best Eats ® may collect, use and publish anonymized, aggregated usage statistics (such as total votes cast or total Users) for product and marketing purposes.
6.1 THE PLATFORM, THE SERVICES AND ALL CONTENT MADE AVAILABLE THROUGH Best Eats ® ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OR NON-INFRINGEMENT. You agree that your use of Best Eats ® is at your own risk.
6.2 Restaurant information (including names, locations and details) may be sourced from third parties such as Google and may be incomplete, outdated or inaccurate. Best Eats ® does not warrant the accuracy of such information and is not responsible for your reliance on it.
6.3 Rankings are community-generated opinion and must not be relied upon as professional advice.
7.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Best Eats ®, ITS EMPLOYEES, OFFICERS, AGENTS, AFFILIATES, SUCCESSORS, ASSIGNEES OR LICENSORS SHALL NOT BE LIABLE FOR: (i) any indirect, special, incidental, punitive, exemplary or consequential damages; (ii) any loss of profits or revenues; (iii) any loss of data, use, good-will, or other intangible losses; (iv) any damages arising out of your access to, use of, or inability to access or use the Platform; or (v) any conduct or content of any third party on the Platform.
7.2 Aggregate Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Best Eats ®'s TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE PLATFORM OR THE SERVICES — WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER LEGAL THEORY — SHALL NOT EXCEED ONE HUNDRED EUROS (EUR 100). THIS CAP DOES NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW (SUCH AS FRAUD, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE).
7.3 Nothing in these Terms limits any rights you may have as a consumer under mandatory provisions of Portuguese or EU consumer-protection law.
8.1 You agree to defend, indemnify and hold harmless Best Eats ®, its affiliates, officers, directors, employees, agents and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to: (i) your User Data; (ii) your use of, or inability to use, the Platform or the Services; (iii) your breach of any provision of these Terms or the Privacy Policy; (iv) your violation of any applicable law or regulation; or (v) any infringement by you of the intellectual property, privacy or other rights of any third party.
8.2 Best Eats ® reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with Best Eats ®'s defense of such claim.
9.1 User Termination Rights. You may terminate this Agreement at any time by ceasing to use the Services and, if you have an account, by deleting it or contacting customer support at [email protected].
9.2 Best Eats ® Termination Rights. Best Eats ® may terminate or suspend this Agreement and your access: (i) at any time, without cause, with reasonable notice; or (ii) immediately, without notice, if the User breaches this Agreement, misuses the Services, manipulates votes or rankings, or engages in fraudulent or illegal activity.
9.3 Effects of Termination. Upon termination, your access to the Services will cease and your User Data may be deleted within 30 days, subject to the legal retention requirements detailed in our Privacy Policy. Best Eats ® shall not be responsible for any damage caused by termination.
10.1 Best Eats ®, in its sole discretion, may modify or revise these Terms at any time. All modifications replace any previous version and become effective on the date of posting on the Site, or, for material changes, on the date stated in our notice.
10.2 Continued use of the Services following amendments signifies your acceptance of the revised Terms. You agree to review the Terms periodically.
10.3 If you do not wish to be bound by the revised Terms, you must stop using the Services and may close your account.
11.1 Governing Law. This Agreement shall be governed by and construed under the laws of Portugal, without regard to conflict of law provisions, and without prejudice to the mandatory consumer-protection rules of your country of residence within the EU.
11.2 Dispute Resolution. You agree to contact us first to resolve any dispute through negotiation. If a solution cannot be reached, the competent Portuguese courts shall have jurisdiction, without prejudice to any mandatory right you may have to bring proceedings in the courts of your place of residence.
11.3 Severability. If any part of these Terms is found invalid, illegal or unenforceable, it will not affect the validity or enforceability of the remainder of the Terms.
11.4 Notices. Best Eats ® may send notices to you via the email address registered on your account, via in-Platform notification, or by posting on the Site. You shall send any notices to Best Eats ® at [email protected].
11.5 Assignment. Best Eats ® may assign or transfer this Agreement, in whole or in part, to any affiliate or successor in interest, without your consent. You may not assign or transfer this Agreement without Best Eats ®'s prior written consent.
11.6 Survival. Any provision that, by its nature, is intended to survive termination shall so survive — including Sections 5 (Intellectual Property), 6 (Disclaimer), 7 (Limitation of Liability), 8 (Indemnification) and 11 (Final Provisions).
11.7 Force Majeure. Neither party shall be liable for any failure to perform due to causes beyond its reasonable control, including acts of God, war or terrorism, pandemics, government actions, internet infrastructure issues, or third-party service-provider failures.
11.8 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between the parties regarding their subject matter and supersede all prior agreements.
11.9 Language. These Terms may be made available in multiple languages; the English version shall be the authentic version in case of conflict.
